Disclosure and Confidentiality Agreement
This Agreement, entered into this month __________ this_____ day of year
_______, by and between ___________________________________________ and
referred to as disclosee(s), and
Eagle
Entertainment Group PO Box 448/ St. Petersburg, Fl 33731 (hereinafter
called ("Owner/Discloser"). Whereas Discloser is providing
confidential information pertaining to production or development of Real-estate,
entertainment, events, motion picture(s), screenplay(s) TV shows, Music related
projects, Animations, Internet web sites and or Products as a possible interest
by the parties mentioned or yet to be mentioned in this agreement. It is
therefore necessary and desirable that the disclosee keeps all information,
directly or though associate introductions, either though mailed, E mailed,
faxed, telephone, video phone as well as in person conversation to him/her
confidential.
Discloser agrees to make this confidential
information available to Disclosee on the following terms:
1. Disclosee agrees not to use this confidential
information except for purposes specified in this agreement or an adjoining
agreement with Discloser and to take reasonable steps to prevent disclosures to
third parties. Unless other wise agreed upon in writing.
2. No copies shall be retained of any written or oral information or material
furnished to (Disclosee) without the prior written consent of the owner.
3. Any use of concepts, deals, story titles, products, LOI's (Letters Of Intent)
beyond the scope of this agreement shall be an unauthorized use and constitute a
violation of proprietary and copyright laws or breach of confidentiality and
shall be enjoined in a court of equity upon application, in addition to recovery
of damages and attorney's fees by Owner/Discloser.
4. Disclosee agrees not to disrupt negotiations with associates, funders,
producers, directors, entertainers, promoters, companies or financiers in
progress or in the future without written permission of Discloser. 5. Any
notices to be given herein by Disclosee to Discloser that may request an
addendum, be affected by personal delivery in writing or by mail, certified or
registered, postage prepaid, with return receipt requested.
6. Should a mutual agreement to participate in this project not develop, upon
request of Discloser, Disclosee, at their expense, shall promptly return all
materials containing such information, including all extracts and copies thereof
to Discloser.
7. Disclosee shall communicate openly with Discloser regarding these projects or
projects introduced to Disclosee and shall make available to Discloser,
correspondences, names, phone numbers, and addresses to anyone introduced by
Disclosee or associates. Also, Disclosee may be ask to require a confidential
agreements (NDA) from associates that might be involved in these project, unless
otherwise agreed. And this confidential agreement will remain in effect for the
duration of 3 years upon date of signature.
8. Disclosee, agrees to keep all matters, deals, contacts, etc., confidential
and will not circumvent any negotiation or contacts generated through Eagle
Entertainment Group or its associates.
Execution of this Agreement, confirms a request
to participate, but does not employ the Disclosee , In witness where of , the
parties hereto have set their hands and seals on the day and year first above
written.
